Website terms of use

1. About these terms

These terms of use ("Terms") govern your access to and use of www.descycle.com and any related website pages operated by us (together, the "Website"). By using the Website, you agree to these Terms. If you do not agree, you must not use the Website.

The Website is operated by Argo Natural Resources Limited, trading as DEScycle ("DEScycle", "we", "us" or "our"), a company registered in England and Wales under company number 11151531. Our registered office is Lynton House, 7-12 Tavistock Square, London, WC1H 9BQ, United Kingdom. You can contact us at info@descycle.com.

These Terms apply to use of the Website only. Any trial, project, investment, supply, licence, collaboration, employment, consultancy or other commercial arrangement with us will be subject to separate written terms. If separate written terms conflict with these Terms in relation to that arrangement, the separate terms prevail.

2. Other terms that apply

The following documents also apply to your use of the Website:

  • Our Privacy Policy, which explains how we use personal information.
  • Our Cookie Policy and cookie consent tool, which explain and control cookies and similar technologies.
  • Any additional notices or terms displayed for a particular Website feature, document, event, portal or service.

3. Changes to these Terms and the Website

We may update these Terms from time to time. The current version will be published on the Website and identified by the “Last updated” date. Please review them periodically. Continued use after an update means that the updated Terms apply from the date they are published, to the extent permitted by law.

We may change, suspend, withdraw or restrict any part of the Website, including content and functionality, at any time. We do not guarantee that the Website or any content will always be available, uninterrupted, secure or error-free.

4. Access to the Website

The Website is made available free of charge for general information and professional engagement. You are responsible for arranging the technology, connectivity and permissions required to access it and for ensuring that anyone using the Website through your systems or connection understands and complies with these Terms.

We may suspend or block access where we reasonably consider it necessary for security, maintenance, legal compliance, protection of our rights or investigation of a breach.

5. Information only - no advice, offer or commitment

Website content is provided for general information and discussion only. It is not legal, financial, investment, tax, regulatory, technical, engineering, environmental or other professional advice and should not be relied on as a substitute for advice tailored to your circumstances.

Nothing on the Website constitutes or forms part of:

  • An offer, invitation, recommendation or solicitation to buy, sell, subscribe for or invest in any security, business, project, product or service.
  • A representation, warranty, commitment or binding proposal concerning a transaction, partnership, project, technology licence, supply arrangement, performance level or commercial outcome.
  • Technical specifications, operating instructions, safety information or a basis for designing, permitting, constructing or operating industrial equipment or processes.

You should obtain appropriate independent advice and conduct your own due diligence before making an investment, commercial, technical, environmental, safety or regulatory decision.

6. Forward-looking, technical and environmental statements

The Website may contain statements about future plans, targets, market opportunities, funding, partnerships, deployment, scale-up, technology performance, recovery rates, capital requirements, energy use, emissions, environmental impact, payback periods, unit economics or other anticipated outcomes.

These statements may be forward-looking, illustrative, estimated, targeted, based on specific studies or assumptions, or dependent on site, feedstock, process, market, financing, regulatory and other conditions. Actual results may differ materially. Comparative or quantitative claims apply only in the context and on the assumptions stated or otherwise made available. Unless expressly stated, they are not guarantees of future performance.

News articles, announcements and historical materials speak as of their stated date. We are not obliged to update them merely because circumstances, assumptions, plans or results later change.

7. Intellectual property rights

We and our licensors own or control the intellectual property rights in the Website and its content, including text, graphics, branding, trade marks, designs, images, videos, software, databases, documents and the selection and arrangement of content. Those rights are protected by intellectual property laws and treaties.

DEScycle and associated names, logos and branding are trade marks or trading identifiers of Argo Natural Resources Limited or its licensors. Nothing in these Terms grants a right to use them without prior written permission.

No licence or right is granted in any patent, invention, process, chemistry, formula, know-how, trade secret, software, model, design, technical information or other DEScycle technology merely because information about it appears on the Website.

8. Permitted use of Website content

You may view the Website and print or download reasonable extracts for your own lawful, internal, non-commercial reference, provided that you:

  • Do not alter the content or remove copyright, trade mark, confidentiality or other notices.
  • Acknowledge DEScycle as the source where you are permitted to reproduce a short extract.
  • Do not use any content out of context or in a way that is misleading, defamatory or damaging to our reputation or the reputation of another person.
  • Do not reproduce, distribute, publish, license, sell, exploit or create derivative works from substantial parts of the Website without prior written permission, except where applicable law expressly permits it.

If you breach this section, your permission to use the Website ends immediately and you must, at our option, return or destroy copies you have made.

9. Prohibited uses

You must not use the Website:

  • In breach of any applicable law, regulation, sanction, court order or third-party right.
  • To introduce viruses, malware, malicious code or other harmful material, or to interfere with, damage, overload or disrupt the Website or connected systems.
  • To attempt unauthorised access to the Website, its server, any database, account, network or security mechanism, or to test vulnerabilities without our written authorisation.
  • To scrape, crawl, harvest, copy or extract data or content by automated means, except ordinary search-engine indexing that respects published technical controls and does not adversely affect the Website.
  • To reverse engineer, decompile, disassemble or attempt to derive source code, confidential information, algorithms or technical methods from Website functionality, except to the limited extent that applicable law prevents this restriction.
  • To impersonate another person, misrepresent your identity or affiliation, submit false or misleading information, or use another person’s information without authority.
  • To infringe intellectual property, confidentiality, privacy, data protection or other rights, or to send unlawful, abusive, defamatory, discriminatory, obscene or otherwise harmful material.

We may report suspected criminal activity, cyberattacks or unlawful conduct to relevant authorities and cooperate with lawful investigations.

10. Contact forms and information you submit

Information submitted through the Website must be accurate, lawful and relevant to the stated purpose. Do not submit information that you do not have authority to provide.

A general contact form or unsolicited message is not a secure channel for trade secrets, export-controlled information, personal data about third parties, commercially sensitive information or other confidential material. Unless we have expressly agreed confidentiality in writing before disclosure, you should not assume that unsolicited information will be treated as confidential or that receiving it creates a duty, partnership, agency, fiduciary relationship or other obligation.

You retain ownership of content you submit. You give us a non-exclusive, worldwide, royalty-free licence to receive, copy, store, route and use that content only to operate the Website, respond to you, evaluate the matter raised, maintain records and protect our legal rights, subject to our Privacy Policy and applicable law.

11. Third-party links and content

The Website may link to, embed or refer to third-party websites, platforms, publications, funding bodies, partners, media, professional networks or other external resources. Links are provided for convenience and information only. We do not control and are not responsible for third-party availability, security, content, accuracy, terms, privacy practices or services.

A link or reference does not necessarily imply endorsement, approval, partnership or responsibility. You access third-party resources at your own risk and should review their applicable terms and policies

12. Linking to the Website

You may link to the Website’s home page in a fair and lawful way that does not damage or exploit our reputation, imply an association or endorsement that does not exist, or present Website content out of context. You must not frame the Website on another site or link directly to content in a way that bypasses important context, notices or access controls.

We may withdraw linking permission at any time. For other linking, syndication or content-use requests, contact info@descycle.com.

13. Accuracy and availability

We use reasonable care in preparing and maintaining Website content, but the Website is provided on an “as available” basis. To the fullest extent permitted by law, we do not guarantee that content is complete, accurate, current, fit for a particular purpose or free from omissions, and we exclude implied conditions, warranties and representations that may otherwise apply.

The Website may contain typographical errors, simplified explanations, third-party information or content that becomes outdated. You should verify information independently before relying on it.

14. Viruses and security

We take reasonable security measures but do not guarantee that the Website, downloads or linked resources will be secure or free from bugs, viruses or harmful components. You are responsible for using suitable security software, backups and configurations and for checking content before use.

15. Our responsibility for loss or damage

Nothing in these Terms excludes or limits liability where it would be unlawful to do so, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot legally be excluded or limited.

If you use the Website for business purposes:

  • We exclude all implied conditions, warranties, representations and other terms that may apply to the Website or its content, to the fullest extent permitted by law.
  • We will not be liable for loss of profit, revenue, business, contracts, anticipated savings, opportunity, goodwill, reputation or data, or for indirect or consequential loss, arising from or connected with the Website or reliance on its content.
  • We will not be liable for loss caused by Website unavailability, interruption, cyberattack, malware, third-party content, links, user equipment or events outside our reasonable control, except to the extent liability cannot legally be excluded.

If you use the Website as a consumer:

  • We are responsible only for loss or damage that is a foreseeable result of our breach of these Terms or failure to use reasonable care and skill, subject to applicable law.
  • The Website is provided for private and general informational use. We are not responsible for business losses arising from consumer use, and your statutory consumer rights are not affected.

The exclusions and limitations in this section apply to all causes of action, including contract, tort (including negligence), breach of statutory duty and misrepresentation, to the extent permitted by law.

16. Privacy and cookies

Our use of personal information is governed by our Privacy Policy. Cookies and similar technologies are governed by our Cookie Policy and the choices available through the Website’s consent tool.

17. Suspension and termination

We may suspend, restrict or terminate your access to the Website immediately if we reasonably believe you have breached these Terms, created a security or legal risk, infringed rights or misused the Website. Provisions that are intended to continue, including intellectual property, disclaimers, liability and governing law, will survive termination.

18. General legal terms

  • Entire agreement for Website use. These Terms and documents expressly incorporated into them form the agreement between you and us regarding use of the Website. They do not replace separate written agreements for commercial or other activities.
  • No waiver. A delay or failure to enforce a right does not waive that right.
  • Severability. If any provision is unlawful or unenforceable, it will be treated as modified to the minimum extent necessary or deleted, and the remaining provisions will continue.
  • Transfer. We may transfer our rights and obligations under these Terms as part of a reorganisation, financing, sale or transfer of the Website or business, provided this does not reduce protections that cannot lawfully be reduced. You may not transfer your rights without our written consent.
  • Third-party rights. No person other than you and us has a right to enforce these Terms under the Contracts (Rights of Third Parties) Act 1999.

19. Governing law and courts

These Terms, their subject matter and formation, and any non-contractual dispute or claim are governed by the law of England and Wales.

If you are a business, the courts of England and Wales have exclusive jurisdiction. If you are a consumer resident in the United Kingdom, you may bring proceedings in the part of the United Kingdom where you live, and applicable mandatory consumer protections remain unaffected.
